Privacy Policy

At GrayVyne, Inc. (“GrayVyne”, “We” or “Us” and terms of similar meaning), we are committed to your privacy. This means we do not transfer, distribute, disclose, rent or sell any of your personal information to third parties except as provided for in this policy (the “Privacy Policy”) or as specifically consented by you.

By accepting this Privacy Policy in registration or by visiting and using our website (the “Site”) and/or utilizing the services through the Site (the “Services”), you expressly consent to our collection, use and disclosure of your personal information in accordance with this Privacy Policy. This Privacy Policy is incorporated into and subject to our Terms and Conditions.


This Privacy Policy applies to all personal information (“Personal Information”) collected, used or disclosed by GrayVyne from our customers and their representatives whom they give user access to their account, as well as students, advisors, teachers, and administrators who may use the Services (collectively “Users”).

Plain English Version: We have the standard binding legal stuff for your review, but we’ve also added a Plain English non-binding version immediately prior to each section to aid in understanding and show you where we’re coming from. Because it is such an important contact between us and our users, we have tried to make it as clear as possible. We really want to make this legal stuff easier to read and show important people like you that our organization can be trusted.

Information We Collect – Plain English Version: Personal Information will only be collected for he Trellis at https://grayvyne-marketplace-prod.herokuapp.com/ which is a private website that requires a username and password to access, this is not public-facing. This is a purpose-built platform and has none of the marketing analytics built into it like the main marketing website. A limited amount of data is being collected from users for account verification and user authentication to grant access to the site (i.e. school name, username and password), which is being handled through a super secure Google Firebase Authentication platform. This means even GrayVyne doesn’t have access to your password, we leave this important job to the security experts. This platform is used to make sure only the folks in the GrayVyne community are accessing the Trellis. We use other information (such as your email address and school name) to contact you for customer support and provide notices about your account or other stuff we think you need to know. We’re not spammers, we promise.

We’ve also tried to make your experience as seamless as possible and have connected third party sites such as stripe.com and github.com to handle certain functions. Stripe will maintain all of your financial information and you’ll be required to set up an account directly with them, and GrayVyne uses this service to help make sure your donations go to the right place. GrayVyne doesn’t hold your financial information, Stripe does. Github is only used for software project where your learners will need to build and maintain a codebase. When learners create a software project, they’ll link their Github repository to their project on the Trellis for other learners to access, and then magically (seriously, it’s pretty cool), your learners’ software project will appear in the GrayVyne app for the community to use on their phone. You will be required to set up your own account with Github, and then you’ll link the codebase you maintain to the Trellis.

The Trellis was designed to be a safe place for a courageous community. We never intend to sell your data, we aren’t tracking likes or comments or views, we don’t solicit ratings or reviews about learners or schools, we are the opposite of social media (we want you to be human and social with none of the media). There are no “Most Viewed” or “Most Popular” or “Most Downloaded” projects. We aren’t concerned about the Most, we are concerned about each and every one of You. The Trellis is a private platform run by a private company, which means only community members like you can tell us what to do—the way it should be.

Information We Collect

Personal Information

Personal information is any information recorded in any form that identifies or can identify an individual and includes any information provided to us by you or your Users in using our Site and Services. Personal information includes, but not is not limited to, the following:

  • registration information and user profile information that you provide to us in creating your account to use our Services (e.g. name, address, zip code, email address and telephone number);

  • financial and billing information (such as credit card number and expiration date);

  • information about your school or educational institution, such as school name and location;

  • administrator, teacher, and advisor information, such as the school, grade level or subject matter they manage, teach or advise;

  • student information, such as age level, grade level, class name or type, or school email address as provided by the school administrator or staff (“Student Information”);

  • information collected from third party services that you connect to our Service (such as Stripe.com for financial transactions or GitHub for software applications)

 

GrayVyne collects Personal Information for the following purposes:

  • to provide Services to you and your Users; to establish and maintain responsible commercial relations and to communicate with you in order to provide service. This includes, but is not limited to, communications relating to billing, notices, and account verification;

  • to respond to any correspondence you may direct to us;

  • to understand, research, and improve our Services;

  • customer and User needs and preferences;

  • to direct notices to you about Our company and our products and services that may be of interest to you;

  • to enforce our Terms and Conditions;

  • to provide you with system or administrative messages;

  • to meet legal and regulatory requirements; and

  • for any other reasonable purposes for which you may have provided your express consent or in which your consent can be reasonably implied.

Consent – Plain English Version: We won’t disclose personal information without your consent, and it’s probably only to share how amazing you are. In all cases, we will never sell your data, ever.

Consent

We respect your privacy and, unless otherwise required by law, we will not collect, use or disclose your Personal Information without your prior consent. Your consent may be expressed or implied. You may expressly give your consent in writing, verbally or through any electronic means. In certain circumstances, your consent may be implied by your actions. For example, providing us Personal Information to register for our Services is implied consent to use such information to provide you the associated services.

Where appropriate, GrayVyne will generally seek consent for the use or disclosure of the information at the time of collection. In certain circumstances, consent with respect to use or disclosure may be sought after the information has been collected but before use (for example, when GrayVyne wants to use information for a purpose other than those identified above). In obtaining consent, GrayVyne will use reasonable efforts to ensure that a customer is advised of the identified purposes for which Personal Information collected will be used or disclosed.

The form of consent sought by GrayVyne may vary, depending upon the circumstances and type of information disclosed. In determining the appropriate form of consent, GrayVyne shall take into account the sensitivity of the Personal Information and the reasonable expectations of our customers and Users. GrayVyne will seek express consent when the information is likely to be considered sensitive. Implied consent will generally be appropriate where the information is less sensitive.

You may withdraw consent at any time, subject to legal or contractual restrictions and reasonable notice. In order to withdraw consent, you must provide notice to GrayVyne in writing.

Limiting Use, Disclosure and Retention – Plain English Version: When you first register on the Trellis, and Administrator will set up the Account for their School or Organization. This is a simple registration that requires the school name and address, and certain information about this individual such as email address and job title. Once registered, this Administrator will receive an email from GrayVyne directing them to generate a username and password to access their account on the Trellis. Once the Administrator logs into the Trellis, they are the ones responsible for adding any additional users to their Account. They may add teachers and support staff and students at their discretion, and they retain full control over the users who can access their account and who they share this data with. There are restrictions on the site based on user type, which prohibits students and staff from viewing or manipulating the data inputted by the Administrator. At the Administrator’s discretion, they can delegate their administrative privileges to others at the school to help with managing the platform. For instance, an Administrator may share a class list with the office staff to help manage users over time. Ultimately, the school retains control over the data it shares within its Account.


GrayVyne has amazing relationships with contractors and agents that help maintain the site and keep the organization and community moving forward. These are friends that make the service safer and more effective, and usually makes all of our lives a little less complicated. A Contractor such as Google Firebase Authentication is a super secure security platform that handles all of the passwords and authentication processes for us, so GrayVyne never has access to this sensitive data. We leave the security stuff to the security experts. Similarly, Stripe maintains all of your financial information, we leave that important job to the finance experts and we don’t have access to any of your financial data. In any case, we are doing everything we can to protect your data and trust our Agents, Affiliates and Contractors to uphold the same standards.

Limiting Use, Disclosure and Retention

Unless required by law, or in connection with a business transaction, GrayVyne shall not use or disclose or transfer Personal Information for any purpose other than those described above without first identifying and documenting the new purpose and obtaining your consent, where such consent may not reasonably be implied.

Depending on how your school (i.e. school principal, administrator or other individual authorized by the school to administer our Service) (“School Administrator”) chooses to use our Service, Student Information and other User information may be shared to other teachers, advisors and school staff who are authorized by the School Administrator to view and access such information. Each student and his or her parent will only have access to view or submit information relative to their particular student. Neither students (nor their parents) will be able to view or otherwise access the Student Information of other students on the platform.

As noted above, GrayVyne does not disclose your Personal Information to third parties. Notwithstanding, your Personal Information may be transferred to third party suppliers, contractors and agents (“Affiliates”) who are contracted by GrayVyne to assist it in providing and developing products and services, for example customer service and user support. Such Affiliates will only use your Personal Information for the purposes identified in this Privacy Policy. In the event your Personal Information is disclosed to a third party pursuant to a business transaction, GrayVyne will ensure that it has entered into an agreement under which the collection, use and disclosure of the information is related to those purposes that relate to the transaction.

Subject to the foregoing, only GrayVyne’s and our Affiliates’ employees with a business need to know, or whose duties reasonably so require, are granted access to Personal Information about our Users. All such employees will be required as a condition of employment to contractually respect the confidentiality of Members’ Personal Information.

GrayVyne will retain Personal Information for only as long as required to fulfill the identified purposes or as required by law. Personal Information that is no longer required to fulfill the identified purposes will be destroyed, erased or made anonymous according to the guidelines and procedures established by GrayVyne.

Using the Site – Plain English Version: The main marketing website does have analytics and tools built into the WordPress website software to help us understand how the site is being used and if anyone is actually visiting the thing… To be honest, digging into site counts and page visits isn’t much fun, so we’re not that interested in playing with it. We reference these analytics to see if there was one unique visitor who came to our site today, which means there is one person in the world curious to learn more about how their learners can inspire their peers in different learning environments, and that one person is enough for us to get back to work. We are not ever concerned about or connected to your social media profile, and we don’t want to track you.  The marketing website is merely a place where you can learn about us and understand how you can become a contributor to the community. And if you do contact us, it would be a privilege for us to learn about you through a human conversation, rather than through a bunch of data.

Using the Site

Each time a user accesses our marketing Site at http://www.grayvyne.com, GrayVyne automatically receives and stores certain types of non-personally identifiable information about users including IP address, web pages viewed, and date and time. The non-personally identifiable information collected through your use of Site is used to do monitor website traffic and conduct internal research on our users’ demographics, interests and behavior to better understand and serve our customers. For example, we may collect information such as the length of time a user visited the site, the pages he or she visited, the type of browser used to access our site as well as to track the number of visitors to the site. The Trellis is a separate Site at https://grayvyne-marketplace-prod.herokuapp.com/ where we have no intent to collect and analyze User usage data in this manner.


How can I Access my Personal Information?
Upon request, GrayVyne will provide information to a User regarding the existence, use and disclosure of his or her Personal Information. GrayVyne will respond to an application for individual access to Personal Information within a reasonable time and at minimal or no cost to the individual. A User may challenge the accuracy and completeness of the information and have it amended as appropriate.

NOTE: In certain circumstances, GrayVyne may not be able to provide access to all the Personal Information it holds about a User. Exceptions may include information that is prohibitively costly to provide, information that contains references to other individuals, information that cannot be disclosed for legal, security or commercial proprietary reasons, or information that is subject to solicitor-client or litigation privilege. GrayVyne will provide the reasons for denying access upon request.

Safeguards – Plain English Version: We restrict folks from accessing our physical office, we limit access to those who need to know, and we require usernames and passwords to access the Trellis or any Organizational files or programs. We’re a stickler about privacy and security, and sometimes we even lock ourselves out…. Not on purpose of course.

Safeguards

GrayVyne protects your Personal Information by security safeguards appropriate to the sensitivity of the information. GrayVyne will protect personal information against loss or theft, as well as unauthorized access, disclosure, copying, use, or modification. Our methods of protection include:

  • Physical measures, such as restricted access both to GrayVyne’s place of business in general and to internal offices as well;

  • Organization measures, such as security clearances and limited access on a need to know basis; and

  • Technological measures, such as the use of passwords, firewalls and encryption.

 

Challenging Compliance – Plain English Version: If you’re concerned about your privacy, please contact support via the Support Page on the GrayVyne website and tell us what’s going on. If you’ve sent us a note are still a little anxious, pick up the phone and call us any time. We take this seriously and we’ll do everything we can to fix it and address your concern.

Challenging Compliance

An individual will be able to address a challenge concerning compliance with this Privacy Policy to GrayVyne’s Privacy Officer.

GrayVyne shall investigate all complaints. All inquiries or complaints involving GrayVyne’s handling of Personal Information or compliance shall be directed to GrayVyne’s Privacy Officer.

The Privacy Officer will respond to all such inquiries or complaints within 14 business days of receipt. The Privacy Officer will make reasonable efforts to resolve all such complaints within 30 days of receipt of the initial complaint. If GrayVyne finds a complaint to be justified, it will take appropriate measures, including, if necessary, amending its policies and procedures.
